Terms of Service

Welcome to PharmaMarket, a technology platform operated by PharmaMarket Technology Limited ("PharmaMarket", "we", "us", or "our"), a company registered in Nigeria. These Terms of Service ("Terms") govern your access to and use of the PharmaMarket platform, website, and all associated services (collectively, the "Platform").

By registering on, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.

PharmaMarket is a business-to-business (B2B) technology intermediary platform. We facilitate connections between licensed pharmaceutical businesses in Nigeria, including:

• •Licensed retail pharmacies registered with the Pharmacy Council of Nigeria (PCN)
• •Licensed pharmaceutical wholesalers and distributors
• •Patent and Proprietary Medicine Vendors (PPMVs) where applicable

To register and use the Platform, you must:

• •Be a duly licensed and currently registered pharmaceutical business in Nigeria
• •Hold a valid Pharmacy Council of Nigeria (PCN) license or other applicable pharmaceutical license
• •Be at least 18 years of age
• •Have legal authority to enter into binding agreements on behalf of your pharmacy or business
• •Provide accurate, complete, and current registration information

PharmaMarket reserves the right to verify your PCN license or other pharmaceutical credentials before activating your account or granting full platform access. We may request additional documentation at any time. Unverified accounts may have restricted access to certain platform features.

You agree to notify us immediately of any changes to your license status, including suspension, revocation, or non-renewal of any pharmaceutical license held.

You agree not to use the Platform to:

• •List, offer, or transact in counterfeit, adulterated, substandard, or falsified medications
• •List medications that are not legally owned by your registered pharmaceutical business
• •Misrepresent the quality, quantity, expiry date, or condition of any medication
• •Facilitate the sale of prescription-only medications without appropriate documentation
• •Engage in price manipulation, collusion, or anti-competitive practices
• •Upload false, misleading, or fraudulent information or documentation
• •Harass, threaten, or harm other platform users
• •Violate any applicable Nigerian law or regulation, including the PCN Act 2022 and the Electronic Pharmacy Regulations 2026

When you post a medication listing on PharmaMarket, you represent and warrant that:

• •You are the legal owner of the medication listed
• •All information provided (name, quantity, expiry date, price, storage condition) is accurate and truthful
• •The medication has been stored in accordance with manufacturer and regulatory requirements
• •The medication is not subject to any recall, regulatory restriction, or legal hold

PharmaMarket does not guarantee the accuracy of listings posted by users. All buyers are encouraged to verify product details independently before completing any transaction. PharmaMarket is not a party to any transaction between users.

All prices on the Platform are set by the listing pharmacies. PharmaMarket does not control or set prices. Payment for transactions is made directly between buyers and sellers. PharmaMarket does not process, hold, or manage payments between users at this time.

All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, and software, are the property of PharmaMarket Technology Limited and are protected by Nigerian and international intellectual property laws.

To the maximum extent permitted by Nigerian law, PharmaMarket Technology Limited shall not be liable for:

• •Any loss or damage arising from transactions between platform users
• •The quality, safety, efficacy, or legality of any medication listed or traded on the Platform
• •Any regulatory sanctions, fines, or penalties imposed on users by PCN or any other regulatory authority
• •Any indirect, incidental, special, or consequential damages arising from use of the Platform

You agree to indemnify, defend, and hold harmless PharmaMarket Technology Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.

You acknowledge that you are solely responsible for ensuring your use of the Platform complies with all applicable Nigerian laws and regulations, including the PCN Act 2022, the Electronic Pharmacy Regulations 2026, and the Nigeria Data Protection Act. PharmaMarket does not provide legal, regulatory, or pharmaceutical advice.

PharmaMarket reserves the right to suspend or terminate your account at any time, with or without notice, for breach of these Terms, expiry or revocation of your pharmaceutical licence, or any activity that poses a risk to public health or safety.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be referred to mediation. If mediation fails, the dispute shall be resolved by arbitration in Lagos, Nigeria.

PharmaMarket reserves the right to update these Terms at any time. We will notify registered users of material changes via email or platform notification. Continued use of the Platform after notification constitutes acceptance of the updated Terms.
